These Terms and Conditions (“Terms”) govern your use of the CITOR website at citor.com.au and any related CITOR domains (the “Website”). The Website is owned and operated by Desalworks Pty Ltd (ABN 93 655 202 261) trading as Citor Desalinators and Desalworks (together “CITOR”, “we”, “us” and “our”), of 8 Rous Head Road, North Fremantle WA 6159, Australia.

By accessing or using the Website you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Website.

Purchases are governed by separate terms. These Terms cover use of the Website only. The supply of desalination systems, spare parts, consumables and services is governed by the written quotation, order acknowledgement and CITOR’s Terms of Sale (including any warranty terms) provided to you at the time. If there is any inconsistency between those documents and these Terms in relation to a purchase, those documents prevail.

1. Website information is general only

The information on the Website — including product descriptions, specifications, capacities, performance figures, case studies, guides and FAQs — is provided for general information to help you evaluate our systems. It is not engineering, technical or legal advice for your specific site or application, and you should not rely on it as such.

In particular:

  • The output, recovery, energy use and product-water quality of any reverse osmosis system depend on your feed-water chemistry, temperature, salinity (TDS), pre-treatment, power supply and operating conditions. Published capacities and performance parameters are nominal figures based on stated design conditions and may not be achieved at your site.
  • Specifications, dimensions, weights, component selections and pricing are indicative and subject to change without notice as products are developed and improved.
  • Images and drawings may show optional equipment, accessories or configurations that are not included as standard.

Every CITOR system is specified against a water analysis and site assessment. Please contact us to confirm any information before relying on it, ordering equipment or making decisions about your project.

2. Enquiries, quotes and orders

Nothing on the Website is an offer to sell. Submitting a contact, quote-request or parts enquiry form is a request for information and does not create a contract. A binding agreement for the supply of goods or services only arises when we issue a written quotation or order acknowledgement and you accept it, or as otherwise set out in our Terms of Sale. Unless stated otherwise, prices are in Australian dollars and exclude GST, freight, installation and commissioning.

3. Intellectual property

All content on the Website — including text, images, photographs, videos, drawings, specification sheets, manuals, logos, product names and model designations, and the design and layout of the Website — is owned by or licensed to CITOR and is protected by Australian and international intellectual property laws. CITOR, the CITOR logo and our product and model names are trade marks of CITOR.

You may view the Website and download or print specification sheets, manuals and other documents we make available for the purpose of evaluating, purchasing, operating or maintaining CITOR products. You must not otherwise reproduce, modify, distribute, publish, sell, scrape, mine or create derivative works from any part of the Website without our prior written consent, and you must not remove any copyright, trade mark or other proprietary notices.

4. Acceptable use

You must not use the Website:

  • for any unlawful purpose or in breach of any applicable law or regulation;
  • to submit false, misleading or fraudulent information, or to impersonate any person or organisation;
  • to transmit viruses, malware or any other harmful code, or to attempt to gain unauthorised access to the Website, its servers or any connected system;
  • to interfere with the operation, security or availability of the Website, or to place an unreasonable load on our infrastructure;
  • to use automated tools (including bots, crawlers and scrapers) to access, copy or index the Website or its content, other than search engines indexing publicly available pages; or
  • to frame, mirror or embed any part of the Website on another site without our written consent.

5. Information you send us

When you submit information through the Website — such as contact details, project requirements, water analyses, site details, photographs or drawings — you confirm that the information is accurate to the best of your knowledge, that you have the right to share it with us, and that it does not infringe anyone else’s rights. You grant us a licence to use that information to respond to your enquiry, prepare quotations and designs, and otherwise provide our products and services. Personal information you send us is handled in accordance with our Privacy Policy.

Because our systems are specified from the information you supply, please ensure it is complete and accurate. We are not responsible for designs, quotations or recommendations that are affected by inaccurate or incomplete information provided to us.

6. Third-party websites and content

The Website may contain links to third-party websites, documents or tools (for example, component manufacturers’ resources or mapping services). These are provided for convenience only. We do not control, endorse or take responsibility for their content, products, services or privacy practices, and your use of them is at your own risk and subject to their terms.

7. Availability of the Website

We aim to keep the Website available and up to date, but we do not guarantee that it will be uninterrupted, error-free or free from viruses. We may change, suspend or discontinue any part of the Website at any time without notice, including to carry out maintenance or updates.

8. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

9. Disclaimer and limitation of liability

To the maximum extent permitted by law, and subject to section 8:

  • the Website and its content are provided “as is” and “as available”, and we make no warranties or representations, express or implied, about the accuracy, completeness, currency, reliability or suitability of the Website or its content for any purpose;
  • we are not liable for any loss, damage, cost or expense (including loss of profit, revenue, business, data or opportunity, or any indirect or consequential loss) arising from your use of, or reliance on, the Website or its content, or from your inability to access the Website;
  • where our liability cannot be excluded but can be limited, our liability for a breach of a consumer guarantee in relation to goods or services not of a kind ordinarily acquired for personal, domestic or household use is limited, at our option, to the resupply of the goods or services or payment of the cost of resupply; and
  • our total aggregate liability to you in connection with the Website is limited to AUD $100.

This section does not limit any liability that we may have to you under a separate written contract for the supply of goods or services, which is governed by that contract and our Terms of Sale.

10. Indemnity

You agree to indemnify CITOR and its directors, employees, contractors and agents against any loss, liability, claim, cost or expense (including reasonable legal costs) arising from your breach of these Terms, your unlawful or improper use of the Website, or your infringement of any third party’s rights.

11. Privacy

We collect and handle personal information in accordance with our Privacy Policy, which forms part of these Terms.

12. Changes to these Terms

We may update these Terms from time to time by publishing the revised version on the Website with a new effective date. Your continued use of the Website after a change means you accept the updated Terms. Please review this page periodically.

13. General

If any part of these Terms is found to be invalid or unenforceable, that part will be severed and the remainder will continue in full force. Our failure to enforce any right under these Terms is not a waiver of that right. These Terms, together with our Privacy Policy and (for purchases) our Terms of Sale and quotation documents, are the entire agreement between you and us regarding use of the Website.

14. Governing law

These Terms are governed by the laws of Western Australia, Australia. You submit to the non-exclusive jurisdiction of the courts of Western Australia and any courts entitled to hear appeals from them.
